Adsee Terms of Service

Welcome to Adsee! These Terms of Service ("Terms") govern your access to and use of the website, services, and products provided by Adsee ("Adsee," "we," "us," or "our").

By accessing or using our website and/or services, you agree that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must not use our services.

1. Definitions

• Services: Refers to all products, services, features, technologies, and functions offered by Adsee through our website, including the product landing page creation platform, QR code generation features, and AI-powered tools.
• User: Refers to any individual or entity accessing or using Adsee's Services.
• Page: Refers to the landing pages created by Users using Adsee's Services.
• User Content: Refers to all data, text, images, videos, audio, code, or other materials uploaded, created, or provided by the User through the Services. This includes "Input" (data you provide to the Services, such as text or images for AI) and "Output" (content generated by the Services based on your Input, such as AI-generated text).
• AI-Generated Content: Refers to Output generated by artificial intelligence (AI) features within Adsee's Services, which may include models from Google Gemini.

2. Eligibility and User Account

2.1. Eligibility

To use our Services, you must be at least 13 years old or the legal age of majority in your jurisdiction, and possess the legal authority, right, and freedom to enter into these Terms as a binding agreement. You are not permitted to use these Services if doing so is prohibited in your country or under any applicable law or regulation.

2.2. Account Registration

You must provide accurate and complete information to register for an account and use our Services. You are responsible for maintaining the confidentiality of your account credentials and must not share them or make your account available to anyone else. You are responsible for all activities that occur under your account.

2.3. Account Security

You agree to notify Adsee immediately of any unauthorized use of your account or any other breach of security. Adsee will not be liable for any loss or damage arising from your failure to comply with this obligation.

3. Adsee Services

3.1. Service Description

Adsee provides a platform that allows Users to create landing pages for their products. Users can upload photos, videos, and detailed explanations for their products. The Services also include instant page creation features with AI assistance and the ability to download QR Codes that link to the created pages.

3.2. Service Availability

We will use commercially reasonable efforts to ensure the Services are available 24/7, except for scheduled maintenance or circumstances beyond our control. However, we do not guarantee uninterrupted or error-free availability.

3.3. Changes to Services

Adsee reserves the right to modify, suspend, or discontinue any aspect of the Services at any time, including adding or removing features, with or without notice.

4. User Responsibilities and Prohibited Activities

4.1. Lawful Use

You agree to use the Services only for lawful purposes and in accordance with these Terms and all applicable laws and regulations.

4.2. User Content

You are solely responsible for the accuracy, quality, legality, reliability, and appropriateness of all your User Content. You represent and warrant that you have all necessary rights, licenses, and permissions to provide Input to our Services.

4.3. Prohibited Content

You must not use the Services to create, upload, or distribute any User Content (including AI-Generated Content) that:

• Violates any applicable law or regulation.
• Relates to child sexual abuse or exploitation, facilitates violent extremism or terrorism, or non-consensual intimate imagery.
• Facilitates self-harm or illegal activities (e.g., instructions for illegal substances).
• Violates the rights of others, including privacy and intellectual property rights (e.g., using personal data or biometrics without consent).
• Tracks or monitors people without their consent.
• Makes automated decisions that have a material detrimental impact on individual rights without human supervision in high-risk domains (e.g., employment, healthcare, finance, legal, housing, insurance, social welfare).
• Facilitates spam, phishing, or malware.
• Abuses, harms, interferes with, or disrupts Google's or others' infrastructure or services, or circumvents abuse protections or safety filters.
• Facilitates hatred or hate speech, harassment, bullying, intimidation, abuse, or the insulting of others.
• Facilitates violence or the incitement of violence.
• Is sexually explicit (e.g., for pornography or sexual gratification).
• Involves frauds, scams, or other deceptive actions.
• Impersonates an individual (living or dead) without explicit disclosure, in order to deceive.
• Facilitates misleading claims of expertise or capability in sensitive areas (e.g., health, finance, government services, law), or misleading claims related to governmental or democratic processes or harmful health practices, in order to deceive.
• Misrepresents the provenance of generated content by claiming it was created solely by a human, in order to deceive.
• Is designed for or intended to meet regulatory, legal, or other obligations, or to be used, or relied upon, as a substitute for medical, legal, financial, or other professional advice.
• Is used for clinical purposes (e.g., medical advice, treatment, diagnosis) or in any manner that is overseen by or requires healthcare regulations.

4.4. Usage Restrictions

You must not:

• Modify, copy, lease, sell, resell, distribute, distill, use bots to access, reverse engineer, or decompile our Services.
• Use the Services or any Output (including AI-Generated Content) to develop models or services that compete with Adsee or Google's generative AI services, scrape or resell any Input or Output, or distill model data, or to reverse engineer or extract components of any Google Workspace Service or their models.
• Disrupt, interfere with, or gain unauthorized access to the Services or their security systems.
• Violate the usage limitations specified in your Subscription Plan (e.g., Number of Pages).

4.5. AI-Generated Content

You understand and agree that:

• Our AI-powered features, including those utilizing Google Gemini models, use emerging technology and are probabilistic in nature. Therefore, AI-Generated Content may sometimes contain "hallucinations," be offensive, not accurately reflect real people, places, or facts, or be inappropriate or unsuitable for your intended purpose.
• AI-Generated Content may, in some scenarios, produce the same or similar Output for multiple Users.
• AI-Generated Content from our Services is not professional advice (e.g., medical, legal, financial). You should conduct your own thorough research and should not rely on AI-Generated Content as truth.
• You are solely responsible for evaluating AI-Generated Content for accuracy, completeness, and appropriateness for your use, including using human review and supervision, before using or sharing such Output.
• Adsee is not responsible for any incomplete, incorrect, offensive, or otherwise unsuitable AI-Generated Content.

5. Intellectual Property

5.1. Adsee Ownership

All rights, title, and interest in and to the Services, including all software, technology, content, and trademarks, are and will remain the exclusive property of Adsee and its licensors. These Terms do not grant you any right to use Adsee's trademarks, logos, domain names, or other brand features.

5.2. User Content Ownership

As between you and Adsee, you retain your ownership rights to your User Content.

5.3. User Content License

By uploading, creating, or providing User Content (including Input and AI-Generated Content) through the Services, you grant Adsee an irrevocable, perpetual, transferable, sublicensable, royalty-free, and worldwide license to use, copy, store, modify, distribute, reproduce, publish, display in public forums, list information regarding, create derivative works from, and aggregate your User Content and derivative works thereof for the purpose of operating, improving, and marketing the Services (e.g., for case studies, testimonials, or usage examples). This includes the right to transmit your Input to third-party AI providers (such as Google Gemini) for processing to generate Output.

6. Payments and Subscriptions

6.1. Pricing

The prices for our Services are listed on our pricing page. Adsee reserves the right to change the prices of our Services at any time, and to correct pricing errors that may inadvertently occur.

6.2. Penagihan

6.3. Automatic Renewal

Your subscription will automatically renew at the end of each billing period (monthly or annually) unless you cancel it before the renewal date.

6.4. No Refunds

Payments are non-refundable for partial periods of use or for unused features.

7. Cancellation, Downgrade, and Data Retention

7.1. Subscription Cancellation

You may cancel your subscription at any time by following the instructions in your account settings. Cancellation will be effective at the end of your current billing period.

7.2. Plan Downgrade

If you downgrade your Subscription Plan (e.g., from Pro to Runner or Starter), your account will be adjusted to match the features and limitations of the new Plan.

• Page Limits: If your new Plan has a lower Page limit, you must unpublish or remove excess Pages to fit within the new Plan's restrictions. For example, if you have 20 active Pages on a Pro Plan (50 Page limit) and downgrade to a Runner Plan (10 Page limit), only 10 Pages can remain active. The other Pages will become inactive or unpublished.
• Feature Adjustments: Certain advanced features available in higher Plans will be removed or restricted upon downgrading.

7.3. Data Retention After Cancellation

• If you cancel your paid Plan, all published Pages will continue to function as usual, but they will be automatically unpublished after 90 days.
• Your Page content (photos, videos, descriptions, etc.) will be stored in our system for a retention period of 6 months after your subscription ends. This allows you to reactivate your subscription at a later date and restore full access to your Pages without having to rebuild them from scratch.
• After this 6-month retention period expires, Adsee reserves the right to permanently delete or destroy all your data from our systems without further notice to you, unless we are required to retain such data for legitimate business or legal reasons.
• You are responsible for downloading your User Content before canceling your subscription if you wish to retain it beyond our retention period.

8. Disclaimer of Warranties

Adsee's Services are provided "as is" and "as available," without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or performance. Adsee does not warrant that the Services will be error-free, uninterrupted, secure, or that any defects will be corrected. You use the Services at your own risk.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Adsee shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Services; (b) any conduct or content of any third party on the Services; (c) any content obtained from the Services; or (d) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

10. Indemnification

You agree to defend, indemnify, and hold harmless Adsee and its affiliates, and their respective officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the Services, including any data or content transmitted or received by you; (b) your violation of these Terms; (c) your violation of any third-party right, including without limitation any right of privacy or intellectual property; (d) your violation of any applicable law, rule, or regulation; (e) any User Content submitted through your account; or (f) any other party's access and use of the Services with your unique username, password, or other appropriate security code.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of, without regard to its conflict of law principles. Any dispute arising out of or in connection with these Terms shall be exclusively resolved in the competent courts of.

12. Changes to Terms

Adsee reserves the right to modify or revise these Terms at any time at its sole discretion. If we make material changes, we will notify you by email or by a prominent notice on our Services prior to the change becoming effective. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms.

13. Miscellaneous

13.1. Severability

If any provision of these Terms is deemed invalid or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions of these Terms will remain in full force and effect.

13.2. Entire Agreement

These Terms, together with the Privacy Policy and any other documents expressly referred to herein, constitute the entire agreement between you and Adsee regarding the use of the Services.

13.3. Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Adsee's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
